Your use of the Website must at all times comply with:

6. Software and Product Access
Where Kritexa Labs provides access to software, applications, or digital products — whether as a deliverable under a service engagement or as a standalone product — the following terms apply:
- Licence grant: Subject to payment of applicable Fees and compliance with these Terms and any applicable Service Agreement, Kritexa Labs grants the Client a limited, non-exclusive, non-transferable licence to use the software or product for the Client's own internal business purposes during the term of the engagement.
- Restrictions: Unless expressly authorised in writing by Kritexa Labs, you may not: (a) copy, modify, adapt, or create derivative works of the software; (b) reverse engineer, decompile, or disassemble the software; (c) sub-licence, resell, or otherwise transfer rights in the software; (d) use the software to provide services to third parties on a bureau or hosted-service basis without Kritexa Labs' written consent.

- Third-party components: Software delivered by Kritexa Labs may incorporate third-party open-source or licensed components. Such components remain subject to their respective licences, and Kritexa Labs' use of such components does not transfer any rights in those components to the Client beyond what is permitted by those licences.

Where Kritexa Labs provides software on a Software-as-a-Service (SaaS) basis — meaning access to software hosted and operated by Kritexa Labs over the internet — the following additional terms apply:
- Hosted access: SaaS services are provided through web-based access and do not require you to install software on your own infrastructure, unless otherwise specified.
- Uptime and availability: Kritexa Labs will endeavour to maintain reasonable availability of SaaS services during the subscription term, subject to scheduled maintenance windows, emergency maintenance, and circumstances beyond Kritexa Labs' reasonable control.
- Updates and enhancements: Kritexa Labs may update, modify, enhance, or alter SaaS services from time to time. Material changes that adversely affect existing functionality will be communicated to Clients in advance where reasonably practicable.

Kritexa Labs is not liable for any loss, damage, or liability arising from your failure to comply with these security requirements, or from unauthorised access to your Account that arises due to your own failure to keep credentials secure.
Kritexa Labs will never contact you requesting your password. If you receive such a request purporting to be from Kritexa Labs, please treat it as fraudulent and report it to us.

12. Prohibited Activities
The following activities are strictly prohibited in connection with the Website and Services:
- Unauthorised access: Attempting to access, scan, probe, or test the vulnerability of any Kritexa Labs system without authorisation; attempting to breach security or authentication measures

Violation of these prohibitions may result in immediate suspension or termination of your access and use of the Website and Services, and may expose you to civil and/or criminal liability under applicable law.
13. Customer Content
Where you provide content, data, materials, designs, text, images, or other information to Kritexa Labs in connection with the Services ("Customer Content"), the following applies:
- Ownership: You retain ownership of your Customer Content. By providing Customer Content to Kritexa Labs, you grant Kritexa Labs a limited licence to use, store, reproduce, and process that content to the extent necessary to deliver the Services and fulfil the applicable Service Agreement.
- Your warranties: You represent and warrant that you own or have the necessary rights and licences in respect of all Customer Content you provide, and that the use of that content by Kritexa Labs in accordance with these Terms and your Service Agreement will not infringe the intellectual property rights, privacy rights, or other rights of any third party.

- Retention: Customer Content may be retained by Kritexa Labs during and after the service engagement in accordance with the applicable Service Agreement and Kritexa Labs' data-retention practices. Following the end of a service engagement, Kritexa Labs will delete or return Customer Content as agreed in the Service Agreement.
14. Intellectual Property
Kritexa Labs and its licensors own all intellectual property rights in the Website, software, products, platforms, and Services — including but not limited to the design, layout, graphics, source code, algorithms, documentation, and content of the Website and Services.
Nothing in these Terms transfers any intellectual property rights in Kritexa Labs' Website, Services, or products to you. Your access to and use of the Website and Services does not confer any ownership rights or licence beyond the limited use rights described in these Terms.
The Kritexa Labs name, logo, brand identity, and associated marks are trademarks or service marks of Kritexa Labs. You may not use these marks without Kritexa Labs' prior written consent.
15. Kritexa Labs' Intellectual Property in Deliverables
The intellectual property ownership of deliverables produced by Kritexa Labs under a Service Agreement is governed by the terms of that agreement. The general position in the absence of specific agreement is:
- Custom deliverables: Where a Service Agreement specifically assigns intellectual property in a custom deliverable to the Client, ownership in that deliverable will vest in the Client upon full payment of all applicable Fees.
- Underlying technology: Kritexa Labs' proprietary frameworks, tools, methodologies, processes, know-how, templates, libraries, and underlying technical components — including any that are incorporated in or used to create a deliverable — remain the intellectual property of Kritexa Labs. Any rights granted to the Client are limited to the use of the deliverable as agreed in the Service Agreement.
- Third-party components: Open-source software, licensed frameworks, and other third-party components incorporated into deliverables remain subject to their respective licences.
- Portfolio rights: Unless the Client specifically objects in writing before commencement of a project, Kritexa Labs may display the completed work in its portfolio and marketing materials, subject to reasonable confidentiality obligations.
16. Third-Party Software and Services
The Website and Services may integrate with, link to, or make use of third-party software, APIs, tools, platforms, and services. Kritexa Labs is not responsible for the availability, accuracy, content, privacy practices, or security of third-party services.
Your use of any third-party service accessed through or in connection with Kritexa Labs' Services is subject to the applicable terms of service and privacy policy of that third party. Kritexa Labs does not endorse or make any representations about third-party services.
Kritexa Labs may recommend or use third-party platforms in the delivery of services. Where third-party licensing costs apply, the allocation of those costs is addressed in the applicable Service Agreement.
17. APIs and Integrations
Where Kritexa Labs develops or integrates APIs as part of a service engagement, the following applies:
- API access is subject to any rate limits, authentication requirements, and usage restrictions specified by Kritexa Labs or the applicable third-party API provider
- You must not use APIs to access data or functionality beyond what is permitted by your Service Agreement or the applicable API terms
- Kritexa Labs may change, deprecate, or discontinue API endpoints with reasonable notice where practicable; Kritexa Labs is not responsible for the impact of third-party API changes on services
- API credentials (keys, tokens, secrets) are confidential and must be handled with the same security as Account passwords — they must not be embedded in publicly accessible code repositories or transmitted insecurely
18. AI Features
Kritexa Labs develops and delivers AI-powered features and products, including conversational AI, chatbots, and AI-assisted automation. Where you use or interact with AI features in Kritexa Labs' Services, the following applies:
- Output accuracy: AI-generated outputs are probabilistic and may be inaccurate, incomplete, or inconsistent. You should review AI outputs before relying on them for business decisions, communications, or technical implementations.
- No professional advice: AI-generated outputs do not constitute legal, medical, financial, or other professional advice. Do not rely on AI outputs for advice in regulated domains.
- Input responsibility: You are responsible for the inputs you provide to AI features. Do not submit confidential, sensitive, or third-party proprietary information to AI features unless you are satisfied that appropriate safeguards are in place.
- Third-party models: AI features may utilise third-party AI model providers. Processing of inputs by such providers is subject to their terms. Kritexa Labs takes reasonable steps to select providers with appropriate data-handling practices.
- Evolving technology: AI features are subject to change as the underlying technology evolves. Kritexa Labs does not guarantee the continuity of any specific AI feature or output.
- No unlawful outputs: You may not use AI features to generate content that violates applicable law, including content that is defamatory, harassing, fraudulent, or otherwise unlawful.
19. Service Availability
Kritexa Labs endeavours to provide reliable and available services, but does not guarantee uninterrupted or error-free access to the Website or any Service. Service availability may be affected by:
- Scheduled maintenance or system upgrades
- Emergency maintenance required to address security, stability, or compliance issues
- Failures or interruptions in third-party infrastructure, hosting, or network services
- Force majeure events (see Section 31)
- Actions by governmental or regulatory authorities
Where a specific service availability commitment (such as a service level agreement or uptime guarantee) is relevant to your engagement, it will be set out in the applicable Service Agreement. In the absence of a specific written commitment, Kritexa Labs makes no uptime guarantee.
20. Maintenance and Updates
Kritexa Labs may perform scheduled maintenance on its Website, platforms, and Services from time to time. Where practicable, Kritexa Labs will schedule maintenance during off-peak hours and provide advance notice of planned downtime.
Kritexa Labs may release updates, patches, bug fixes, and improvements to software products and SaaS services during the course of a subscription or engagement. Updates that are required for security reasons may be deployed without advance notice.
Clients are encouraged to stay current with updates provided for software and platforms. Kritexa Labs may discontinue support for older versions of software after providing reasonable notice of the version's end-of-life schedule.
21. Free Trials
Kritexa Labs may offer free trials of certain services or products from time to time. Where a free trial is offered:
- The trial period, scope, and any limitations will be communicated at the time the trial is offered
- These Terms apply to your use of the Services during a free trial
- Kritexa Labs reserves the right to terminate a free trial at any time if it determines that the trial is being abused or that the eligible criteria are not met
- At the end of a free trial, access to the Services may be discontinued unless you enter into a paid service arrangement
- Data stored during a trial period may be deleted after the trial ends — you are responsible for exporting any data you wish to retain before the trial period concludes
22. Paid Services and Fees
Certain Services provided by Kritexa Labs are subject to payment of Fees. The Fees, payment schedule, and payment terms for a particular engagement are set out in the applicable Service Agreement or proposal.
Unless otherwise specified in a Service Agreement:
- Fees are quoted in Indian Rupees (INR) exclusive of applicable taxes unless stated otherwise
- Invoices issued by Kritexa Labs are payable within the period specified in the invoice or Service Agreement
- Late payment may attract interest at such rate as Kritexa Labs may specify, or at the applicable statutory rate
- Kritexa Labs reserves the right to suspend Services where invoices remain unpaid after the due date, following reasonable notice
- Fees paid in advance are generally non-refundable except as expressly stated in the applicable Service Agreement or as required by applicable law
- Kritexa Labs may revise its pricing for ongoing or future engagements with reasonable notice
Any dispute regarding an invoice must be raised in writing within the period specified in the invoice or, if no period is specified, within 14 days of the invoice date. Undisputed portions of an invoice remain payable in accordance with the payment terms.
23. Taxes
All Fees quoted by Kritexa Labs are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for all applicable taxes, duties, levies, and similar charges arising in connection with the Services provided to you, including Goods and Services Tax (GST) where applicable under Indian law.
Where Kritexa Labs is required to charge GST or other applicable taxes on its Services, such taxes will be added to the applicable invoices and must be paid in addition to the stated Fees. Kritexa Labs will provide tax invoices in the format required by applicable Indian law.
You are responsible for withholding tax obligations (TDS) that may apply to payments to Kritexa Labs under applicable Indian income-tax law, and for complying with applicable TDS filing and remittance requirements. Any such withholdings must be remitted to the applicable tax authority and the relevant certificates provided to Kritexa Labs in a timely manner.
24. Suspension
Kritexa Labs may suspend your access to the Website or Services — temporarily or permanently — in the following circumstances:
- Non-payment of Fees after the due date and following reasonable notice
- Breach of these Terms or the applicable Service Agreement
- Suspected or confirmed fraudulent, abusive, or unlawful use of the Website or Services
- A suspected or confirmed security incident affecting your Account or associated systems
- A requirement imposed by a court order, governmental authority, or regulatory direction
- Circumstances where continued access presents a risk to the integrity, security, or availability of Kritexa Labs' systems or the systems of other clients
Where practicable, Kritexa Labs will provide advance notice of a suspension and an opportunity to remedy the relevant issue. In urgent security or compliance situations, suspension may be implemented without prior notice.
25. Termination
Either party may terminate a service engagement in accordance with the termination provisions of the applicable Service Agreement. In the absence of a specific Service Agreement, the following general provisions apply:
Termination by You
You may terminate your use of the Website or a Service by ceasing to use it. If you wish to close an Account, you may contact Kritexa Labs at enquiry@kritexalabs.com. Termination does not relieve you of payment obligations for Services already delivered.
Termination by Kritexa Labs
Kritexa Labs may terminate your access to the Website or Services:
- For cause, immediately upon written notice, where you have breached these Terms or the applicable Service Agreement in a manner that cannot be remedied or that you fail to remedy within a reasonable period after notice
- For convenience, upon reasonable written notice (which will typically be not less than 30 days for active service engagements, unless the Service Agreement specifies otherwise)
- Immediately and without notice in cases of fraud, gross misconduct, or serious legal violations
26. Effect of Termination
Upon termination of a service engagement or Account:
- Your right to access the relevant Services, platform, or Account ceases
- All Fees accrued and payable prior to termination remain due and payable
- Obligations relating to confidentiality, intellectual property, limitation of liability, and dispute resolution survive termination
- Kritexa Labs will handle Customer Content in accordance with the applicable Service Agreement and data-retention practices following termination
- Where applicable, you will have a reasonable opportunity to export your data before access is removed, subject to any outstanding payment obligations
27. Warranties and Disclaimers

Kritexa Labs warrants that it will deliver professional services with reasonable skill and care and in accordance with applicable industry standards.
Exclusions
To the maximum extent permitted by applicable law, except as expressly set out in a Service Agreement or these Terms:

- Kritexa Labs expressly disclaims all implied warranties including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy
- Kritexa Labs does not warrant that the Website or Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components
- Kritexa Labs does not warrant that any specific business outcome, commercial result, search engine ranking, revenue outcome, or performance metric will be achieved through the use of its Services
For limitations and disclaimers relating to information on the Website, please see the Disclaimer.
28. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- Exclusion of consequential loss: Kritexa Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of data, loss of goodwill, or business interruption, arising from or in connection with these Terms, the Website, or the Services, even if Kritexa Labs has been advised of the possibility of such damages.
- Cap on liability: Kritexa Labs' total aggregate liability to you arising under or in connection with a specific service engagement shall not exceed the total Fees paid by you to Kritexa Labs under the applicable Service Agreement in the twelve (12) months preceding the event giving rise to the claim.
- Essential basis: You acknowledge that the limitations and exclusions in this section reflect a reasonable allocation of risk and form an essential basis of the arrangement between you and Kritexa Labs. Without these limitations, Kritexa Labs would not have entered into the service engagement on the terms agreed.
Nothing in these Terms limits or excludes Kritexa Labs' liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by applicable Indian law.
29. Indemnification
You agree to indemnify, defend, and hold harmless Kritexa Labs and its officers, employees, contractors, and agents from and against any claims, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising from or in connection with:
- Your breach of these Terms or any applicable Service Agreement
- Your violation of any applicable law or regulation
- Your Customer Content, including any claim that your Customer Content infringes the intellectual property rights, privacy rights, or other rights of a third party
- Your use of the Website or Services in a manner that harms Kritexa Labs or a third party
Kritexa Labs reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, in which event you will cooperate with Kritexa Labs in asserting any available defences.
30. Confidentiality
In the course of a service engagement, each party may disclose to the other party confidential information, including but not limited to business plans, technical specifications, pricing, client information, and proprietary processes.
Each party agrees:
- To hold the other party's confidential information in strict confidence and to use it only for the purposes of the service engagement
- Not to disclose the other party's confidential information to any third party without the prior written consent of the disclosing party, except as required by applicable law or court order
- To apply at least the same degree of protection to the other party's confidential information as it applies to its own confidential information of a similar nature
- To limit access to confidential information to persons who need to know it for the purposes of the engagement
These confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party without restriction before disclosure; (c) is independently developed by the receiving party without use of or reference to the disclosing party's confidential information; or (d) is required to be disclosed by law, in which case the disclosing party will use reasonable efforts to give advance notice.
31. Force Majeure
Neither party will be liable for failure or delay in the performance of its obligations under these Terms or a Service Agreement to the extent that such failure or delay is caused by circumstances beyond that party's reasonable control, including:
- Acts of God, natural disasters, earthquakes, or floods
- War, civil unrest, terrorism, or government actions
- Industrial disputes or strikes not involving the affected party's own employees
- Pandemic, epidemic, or public health emergency
- Failure of third-party infrastructure, internet services, or power supplies beyond the affected party's reasonable control
- New or changed government regulations or laws that materially restrict the affected party's ability to perform
A party seeking to rely on force majeure must promptly notify the other party in writing, describe the event and its expected impact, and use reasonable efforts to mitigate the effect and resume performance as soon as reasonably practicable.
32. Governing Law and Jurisdiction
These Terms and any dispute or claim arising from or in connection with them or their subject matter (including non-contractual disputes or claims) are governed by the laws of India.
Subject to the dispute resolution provisions below, the parties submit to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India for the resolution of any dispute arising from or in connection with these Terms.
33. Dispute Resolution
Kritexa Labs believes most disputes can and should be resolved without formal legal proceedings. Before initiating any formal dispute resolution, the parties agree to attempt to resolve the dispute through the following process:
Step 1 — Direct Resolution
The party with a dispute should contact the other party's primary point of contact in writing, setting out the nature of the dispute and the remedy sought. The parties will make genuine efforts to resolve the matter within 15 business days of receipt of such notice.
Step 2 — Escalation
If the dispute is not resolved at Step 1, either party may escalate the matter to senior representatives of both parties. The parties will make genuine efforts to resolve the matter within a further 15 business days.
Step 3 — Legal Proceedings
If the dispute remains unresolved after Steps 1 and 2, either party may pursue resolution through the courts of competent jurisdiction in Pune, Maharashtra, India, in accordance with Section 32.
Nothing in this Section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where reasonably necessary.
34. Changes to Services
Kritexa Labs reserves the right to modify, update, enhance, restrict, or discontinue any aspect of its Services, Website, or products at any time. Where practicable and where changes materially affect an existing Client engagement, Kritexa Labs will provide reasonable advance notice and work with the Client to manage the transition.
Kritexa Labs is not obligated to continue offering any specific feature, product, or service that is not the subject of an active Service Agreement with you.
35. Changes to Terms

Your continued use of the Website or Services after an update to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cease using the Website and Services and, if applicable, notify Kritexa Labs in accordance with the termination provisions of your Service Agreement.
For material changes to Terms governing an active paid service engagement, Kritexa Labs will provide advance notice and will not unilaterally apply new Terms to existing Service Agreements without your agreement.
